What Boards Need to Know About AI Governance
In 2025, boards face a new type of fiduciary duty: understanding and governing artificial intelligence.
AI is no longer confined to R&D or innovation teams. It’s shaping decisions in operations, finance, marketing, HR, and customer experience. And as adoption rises, so do questions of risk, transparency, and accountability, areas where board oversight must mature.
A recent Stanford study found that less than 30% of corporate board members feel “moderately confident” in their understanding of AI’s strategic risks. That’s a governance gap with real consequences.
1. AI Governance Is Now a Strategic Board Responsibility
Just as boards adapted to cybersecurity and ESG responsibilities over the past decade, AI now requires the same rigor.
In AI Adoption Roadmap, I outlined how successful transformation depends on top-down alignment. But that alignment must include the board.
Boards must go beyond approving AI budgets. They should ask:
– What is the company’s policy for explainability in AI decisions?
– Which teams or roles are accountable for monitoring AI risk?
– Are we tracking model drift, bias, and fairness regularly?
– Does our org have ethical review processes for high-stakes AI applications?
2. Risk Without Oversight Becomes Liability
AI can make pricing, hiring, or fraud detection faster. But without oversight, it can also hard-code bias and reduce transparency.
Take the example of a major healthcare provider whose patient triage model favored those with more historical care, a proxy for systemic bias. Once uncovered, it triggered regulatory review and reputation loss.
Boards must ensure their companies audit these systems and include AI Translators who can communicate technical risk in business terms.
3. AI Governance Must Include Culture
One of the most under-discussed areas of governance is AI culture.
If employees fear AI tools or believe they’re being surveilled, usage plummets and shadow adoption increases. Boards should ensure that leadership is building a culture of transparency, trust, and upskilling.

4. The Governance Stack Every Board Should Review
At minimum, boards should be reviewing:
– The company’s AI policy framework
– AI model approval and escalation workflows
– Bias detection and mitigation processes
– External audit readiness
– Ethics and transparency communications strategy

AI is no longer optional. And neither is AI governance.
Boards that ask better questions will shape stronger, safer companies. Boards that don’t? They’ll be reacting to headlines.
According to Stanford’s 2024 AI Index Report, companies with active board-level AI governance saw 20% fewer compliance incidents and significantly faster approval cycles for new AI initiatives.
